1. Agreement

This website, applications, and services (together, the "Platform") are operated by Openbook Analytics Ltd ("openbook," "we," "us," or "our"). By using the Platform, you agree to these Terms of Use ("Terms") and our Privacy & Cookie Policies. If you do not agree, do not use the Platform.

You affirm that you are 18 years or older. The Platform is not intended for anyone under 18.

We may change these Terms, the Platform, or any feature at any time. Continued use after changes constitutes acceptance. Check back regularly.

3. Securities & Investment Disclaimer

• No financial advice. All Platform content is educational and informational only. Nothing constitutes a recommendation, endorsement, solicitation, or personalised advice regarding securities, portfolios, strategies, or financial products.
• Not regulated. openbook is not authorised by the Financial Conduct Authority (FCA) or any similar regulator.
• Impersonal content. Even if content appears advisory, it is impersonal, not tailored to you, and not a substitute for professional advice.
• Risk factors. Investments involve risk; values may rise or fall. You may lose all or part of your capital. Low-liquidity or small-cap securities carry higher volatility and information risk.

5. Intellectual Property

All openbook Content, openbook Data, software, graphics, and trademarks are the property of openbook or licensors. You may use them only for personal, non-commercial use. You acquire no ownership rights. All rights reserved.

6. User Conduct

You must not:

• Post or transmit unlawful, defamatory, misleading, abusive, or harmful content.
• Provide financial promotions, recommendations, or regulated advice.
• Upload viruses, spam, pyramid schemes, or malicious code.
• Scrape, harvest, data-mine, or use automated tools without consent.
• Impersonate others or misrepresent affiliations.
• Harass, threaten, or abuse others.

You must comply with all applicable laws, including anti-money laundering and counter-terrorist financing rules. We may request ID verification.

7. User Content

By posting, you grant openbook a worldwide, perpetual, royalty-free, transferable licence to use, reproduce, modify, adapt, publish, and distribute your content. You warrant you own the rights or have proper licences.

You must disclose any material interests or conflicts (e.g., if you hold or expect to trade a security you discuss).

We may remove, edit, or block content at our discretion. You indemnify us against claims arising from your content.

8. Third-Party Content & Links

The Platform may contain third-party data, links, ads, and tools. We do not control, endorse, or guarantee them. Use at your own risk. We may receive commissions from affiliate links or advertising.

9. Openbook Data, Screens & Quant Models

• Derived analytics. Scores, factor ratings, quant signals, and screens are rule-based outputs from data models. They are educational only and must not be treated as recommendations.
• Limitations. Data may be delayed, incomplete, or erroneous. Calculations may change. Screens are candidates for research, not buy-lists.
• Backtests. Any simulated or backtested performance is hypothetical, subject to biases, and not reflective of actual trading.

10. Disclaimers of Warranties

The Platform is provided "as is" and "as available." We disclaim all warranties, express or implied, including but not limited to:

• Merchantability, satisfactory quality, fitness for purpose, accuracy, completeness, non-infringement, and uninterrupted availability.

We do not guarantee security, error-free operation, or virus-free servers. You assume full risk for your use.

11. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, consequential, punitive, or exemplary damages, including lost profits, savings, data, goodwill, or business interruption.
• Our total liability to you in any 12-month period is capped at the greater of £0 and the subscription fees you paid us in that period, not exceeding £250.
• Nothing limits liability for death/personal injury caused by negligence, or fraud.

12. Indemnification

You agree to indemnify and hold harmless openbook, its directors, employees, affiliates, and partners from claims, damages, and costs (including legal fees) arising from your use of the Platform, your breach of these Terms, or your content.

13. Accounts, Subscriptions & Billing

• Accounts. One account per person. Do not share credentials. You are responsible for all activity under your account.
• Trials. If you do not cancel before the Trial ends, billing will commence automatically.
• Fees. Subscription fees are payable in advance and non-refundable, unless required by law.
• Renewals. Subscriptions renew automatically until cancelled.
• Cooling-off. By starting a Subscription immediately, you acknowledge you lose the 14-day cancellation right under UK consumer law.

14. Termination

We may suspend, restrict, or terminate your account at any time, without notice, for breach of Terms or at our discretion. You must not circumvent suspension (e.g., by creating new accounts).

15. Privacy & Cookies

Your use is subject to our Privacy Policy and Cookie Policy, which form part of these Terms.

16. Governing Law

These Terms are governed by the laws of Scotland. The Scottish courts have exclusive jurisdiction, though we may enforce rights in other jurisdictions.
